This search work focuses on how and which characteristics of transaction costs and contractual issues can affect the decisions on an effective governance structure in an intermodal transport. In the light of the transaction cost economics theory, three features of transaction including assets specificity, uncertainty and frequency can explain the decision on optimal governance structure in an intermodal transport. Low levels of assets specificity, uncertainty and frequency would favour a market like contract whereas high levels of assets specificity, uncertainty and frequency should be vertical integration or internalisation of the transaction, or a hierarchy. In addition, some contractual issues in rail-road and sea-road transportations are presented as the development of economic organization in an intermodal transport.
ABSTRACT
